RECITALS

A.     Coin World has created and developed and is the owner of a copyrighted and proprietary web site designed for User to access via the Internet Coin World’s Coin Values, which is a copyrighted and proprietary database consisting of a pricing system for coins.  The web site has a domain name of www.CoinValuesOnline.com as such domain name may be changed from time to time (“Web Site”).

B.     User acknowledges and agrees that Coin World has a substantial investment of time and money in the development of the Web Site and Coin World’s Coin Values and that Coin World has adapted appropriate measures in protecting the proprietary nature of the Web Site and Coin World’s Coin Values.

C.     User further acknowledges and agrees that Coin World has lawfully obtained certain information utilized in the compilation of Coin World’s Coin Values from certain third parties (collectively, “Information Providers/Partners”).

D.     Coin World and User have agreed on the terms and conditions under which Coin World will provide User the ability to access the Web Site and Coin World’s Coin Values while, at the same time, protecting for the benefit of Coin World and the Information Providers/Partners the proprietary nature of the Web Site and Coin World’s Coin Values.

            NOW, THEREFORE, Coin World and User hereby agree as follows:

1.      License Fee.  In consideration for Coin World granting to User the license referred to in this Agreement, User shall pay Coin World a license fee based upon Coin World’s rate structure in existence at the time this Agreement is entered into, as the same may be amended from time to time.
